Active Monitoring Service Terms
These terms govern the Active Monitoring service offered by Blueshift Energy Inc. (“Blueshift”). By registering into Active Monitoring — including through a related Installation Agreement — the Client agrees to be bound by these terms. No separate agreement or signature is required.
1. Definitions
1.1 Client – the owner or occupant of the Installation Address who has been registered into Active Monitoring.
1.2 System – the solar PV and/or battery energy storage system installed at the Installation Address under a related Installation Agreement.
1.3 Commissioning Date – the date stated in the Commissioning Letter for the System.
1.4 Working Day – Monday to Friday, Philippine public holidays excluded.
2. Service Description
Active Monitoring is Blueshift’s remote monitoring service for the System. The service includes:
| Service Item | Description | Mode |
|---|---|---|
| Performance Monitoring | Remote monitoring of System production and performance via the monitoring portal | Ongoing |
| Fault Detection | Detection of alarms, outages, and abnormal behaviour from monitoring data | Ongoing |
| Warranty Support | Monitoring data used to support warranty diagnosis and service | As needed |
Active Monitoring is a monitoring and notification service only. It does not include on-site maintenance, cleaning, or repair labour, which (where offered) are provided under separate services such as the Blueshift Workmanship Warranty or Blueshift One.
3. Fees
3.1 Currently Free. Active Monitoring is currently provided free of charge. Blueshift may introduce or change fees for Active Monitoring at any time on written notice to the Client and by publication of updated terms.
3.2 Future Fees — Auto Opt-Out. If Blueshift introduces a fee for Active Monitoring, the Client will be automatically opted out and the service will discontinue at the end of the then-current free period, unless the Client manually renews by accepting the fee and paying it. The Client is not charged and not enrolled in any paid period unless the Client affirmatively elects to renew. No fee is incurred by inaction.
4. Dependencies & Limitations
4.1 Connectivity Required. Active Monitoring depends on the System remaining online. The Client must maintain internet and Wi-Fi connectivity at the inverter/battery location. Blueshift cannot monitor a System that is offline.
4.2 Third-Party Platforms. Active Monitoring relies on third-party monitoring platforms and the manufacturer’s portal. Blueshift is not responsible for outages, data gaps, or inaccuracies originating from those platforms, the internet connection, or utility/grid events.
4.3 No Guarantee of Detection. Active Monitoring is a best-efforts notification service. It is not a guarantee of uninterrupted monitoring, real-time fault detection, or prevention of any fault, loss, or downtime. Blueshift does not guarantee that every fault will be detected or reported.
5. Opt-Out
5.1 How to Opt Out. The Client may opt out of Active Monitoring at any time by sending written notice to Blueshift at customers@blueshift.ph, clearly identifying the Client, the Installation Address, and the request to discontinue Active Monitoring.
5.2 Effect. Blueshift shall cease Active Monitoring within five (5) Working Days of receiving a valid opt-out notice.
5.3 After Opt-Out. Upon opt-out, Blueshift will no longer monitor the System or provide fault notifications. The Client assumes full responsibility for monitoring System performance thereafter. Opting out does not affect the Blueshift Workmanship Warranty or any manufacturer warranties, each of which continues under its own terms; however, the Client acknowledges that some warranty support depends on monitoring data and that opting out may affect Blueshift’s ability to diagnose faults remotely.
6. System Monitoring & Data
6.1 Data Access. To deliver Active Monitoring, Blueshift remotely accesses the System’s monitoring portal to review production data, performance logs, and alarms. By registering into Active Monitoring, the Client grants Blueshift access to the monitoring platform for these purposes.
6.2 Sub-Processors. System data may be transmitted to and processed on third-party monitoring platforms (such as the applicable manufacturer’s portal). Blueshift takes reasonable steps to ensure such sub-processors apply appropriate security measures.
6.3 Data Privacy. All personal and system data is processed in accordance with RA 10173 (Data Privacy Act of 2012) and the data privacy provisions of the related Installation Agreement.
7. Limitation of Liability
7.1 No Liability for Monitoring Gaps. To the maximum extent permitted by law, Blueshift shall not be liable for any undetected fault, missed notification, monitoring outage, data gap, or any loss, downtime, lost production, lost savings, or lost profit arising from or in connection with Active Monitoring.
7.2 Aggregate Cap. Because Active Monitoring is currently provided free of charge, Blueshift’s aggregate liability arising out of or in connection with the free service shall not exceed nil. Nothing in these terms excludes liability that cannot be excluded under Philippine law.
7.3 Consequential Damages. Neither party shall be liable for indirect, consequential, special, or incidental damages arising from Active Monitoring.
8. Suspension & Termination
8.1 By Blueshift. Blueshift may suspend or terminate Active Monitoring at any time, including where the System is offline for an extended period, where a monitoring platform is discontinued, where required for safety or compliance, or upon non-payment under the related Installation Agreement. Blueshift will give reasonable notice where practicable.
8.2 By the Client. The Client may end Active Monitoring at any time by opting out under Section 5.
9. General Provisions
9.1 Governing Law. These terms are governed by the laws of the Republic of the Philippines. Disputes shall be resolved in accordance with the dispute resolution provisions of the related Installation Agreement.
9.2 Amendments. Blueshift may update these terms, service inclusions, or scope at any time. All updates take effect immediately upon publication at blueshift.ph/legal/active-monitoring.
9.3 Severability. If any provision is held invalid, the remaining provisions remain in full force and effect.
